Commercial Register

The Commercial Register was instituted by State Ordinance of November 6, 1944, and the last revised text of this so-called “Trade Register” Ordinance is published in the Official Gazette of 1991 No. GT 15.

This Ordinance prescribes that any undertaking, which carries on some business, must be registered. The registration of such business must be effected not later than one week after its initial start. A commercial company is considered as established when business with respect to the public commences.

All types of enterprises in which any business is conducted by anyone have to register. Partnerships, corporations and cooperative societies are thus also considered to be carrying on an enterprise.

 

Enterprises pertaining to bodies of public law, minors, street-vendors, craftsmen with a limited number of employees, gardeners, farmers and fishermen, are exempted. The “Trade Register” Ordinance prescribes that the following important and legal information on the company be filed:

bulletthe type of business entity;
bulletthe statutory name and/or name under which it is doing business;
bulletthe business activities;
bulletthe address of business;
bulletthe personal data of the owners and/or (managing and supervisory) directors as well as proxies;
bulletthe capital invested;
bulleta true copy of the deed of incorporation, bylaws and amendments thereto.

We hereunder make available the following forms for updating your company registration:

Model R: this is a general form for making changes to your filed data, such as

bulletchange of address of the company and/or its directors and proxies,
bulletchange of trade name and/or statutory*) name of the company,
bulletchange of nationality of the directors or proxies (provide copy of passport or proof of nationalization),
bulletchange in the terms of the proxy or the rescinding thereof in the case of proxy-holders, agents and caretakers.
bulletresignation of proxy-holders, agents, managers and the legal representative of an AVV;
bulletresignation of (co)-owners, partners, managing and supervisory directors and liquidators;
bulletaddition to or total change of the business activity; change
bulletchange of the (authorized*), issued or paid-up) capital (to be provided annually)

*) for all statutory changes an authentic copy of the amendment to the articles of incorporation must be provided.

Model Q: this form is meant for the filing of new a managing or supervisory director, manager (=beheerder) or liquidator.

Model E: this form regards a business related to a Limited Liability Company

Model S: this form regards dissolving and liquidation of a legal entities or corporation, continuation or cancellation of the company

Model T: this form is used exclusively for the benefit of changes, for which there are no particular forms regulated or in addition to the filling of other forms
