Commercial Register

The Trade Registry was instituted by State Ordinance of November 6, 1944, and the last revised text of this so-called “Trade Register” Ordinance was published in the Official Gazette under AB 1991 No. GT 15.

This Ordinance prescribes that any undertaking, which is involved in business activities, must be registered in the Trade Registry of the Aruba Chamber of Commerce & Industry. The registration of such a business must be done not later than one week after its initial start. A business is considered established when economic activities towards the public have started.

Any enterprise in which business is conducted by anyone has to register. Partnerships, corporations and cooperative associations are thus also considered to be an enterprise.

There are certain exceptions such as public bodies, street-vendors (who however do need a special permit), farmers and fishermen. For more detailed information on exceptions, please contact the Aruba Chamber thru businessinfo@arubachamber.com  
 

 

 

 

 

 

 

 

 


 

 

 The “Trade Register” Ordinance prescribes that the following company information be filed:

bulletthe type of business entity;
bulletthe statutory name and/or name under which it is doing business;
bulletthe business activities;
bulletthe business address;
bulletthe personal data of the owners and/or (managing and supervisory) director(s) as well as proxy/proxies;
bulletthe invested capital;
bulleta true copy of the deed of incorporation, bylaws and amendments thereof.

Please find the current registration and update forms below. They are all in Dutch. Note that we are currently in the process of updating our forms. It is possible to fill out the new forms (those with a number) digitally by using
- the Adobe Acrobat Reader v8 or higher and print it without being able to save it
- the Adobe Acrobat Professional v9 or higher, print and save it

Model R: this is a general form for making changes to your filed data, such as

bulletchange of address of the company and/or its directors and proxies,
bulletchange of trade name and/or statutory*) name of the company,
bulletchange of nationality of the directors or proxies (provide copy of passport or proof of nationalization),
bulletchange in the terms of the proxy or the rescinding thereof in the case of proxy-holders, agents and caretakers.
bulletresignation of proxy-holders, agents, managers and the legal representative of an AVV;
bulletresignation of (co)-owners, partners, managing and supervisory directors and liquidators;
bulletaddition to or total change of the business activity; change
bulletchange of the (authorized*), issued or paid-up) capital (to be provided annually)

*) for all statutory changes an authentic copy of the amendment to the articles of incorporation must be provided.

Model A: this form regards to a business owned by one or more natural persons

Model S: this form regards dissolving and liquidation of a legal entities or corporation, continuation or cancellation of the company

Model T: this form is used exclusively for the benefit of changes, for which there are no particular forms regulated or in addition to the filling of other forms
